Blake Morgan advises on stock market listing for cyber security specialist
Blake Morgan’s legal teams have been instrumental in a multi-million pound deal to launch a cyber-security software provider on the stock exchange.
The firm advised Osirium Technologies plc on its IPO, which saw the company place shares to raise £8.8m to become AIM quoted at a market capitalisation of £16.2m.
Osirium Technologies, based in Theale, near Reading, Berkshire, is a leader in cyber-security and automation technology and specialises in protecting IT systems from malicious attacks.
Blake Morgan acted as legal advisers to Osirium, drawing on a cross-office team of corporate, commercial and employment law specialists.
Bruce Potter, as client relationship partner, led Guy Constant and Tim Coles on the commercial team, Martin Kay and Tal Miller in the corporate team, and Rhiannon Jenkins in employment. Gillian McCue of the pensions and benefits team advised on share options.
This is the second significant stock market launch that Blake Morgan has advised on this year, following the firm’s involvement in the successful AIM listing of Harwood Wealth Management Group with a £13.5m share placing.
Bruce said: “The Blake Morgan teams worked across the firm’s offices and disciplines to provide the full range of legal services required to bring Osirium to this point.
“Cyber security is an innovative and rapidly growing sector which is of crucial importance, as several recent high-profile cyber-attacks have underlined.
“Osirium is a leader in its field and an excellent example of how technology companies are able to access public markets through AIM listing.
“Blake Morgan’s commercial and corporate teams draw on extensive experience in this area, and deals like this highlight the firm’s expertise in the complexities of IPO deals and the attention to detail required to bring them to fruition.”
David Guyatt, chief executive of Osirium, said:
“We are thrilled by our recent admission to AIM following our oversubscribed fundraising, which has provided the team with the working capital required to further establish Osirium’s leadership in the Cyber Security market.
"For what can seem a complex and demanding process, the Blake Morgan team provided exemplary support to us through-out the project, working tirelessly with the wider professional team and demonstrating the patience and stamina to ensure a well-coordinated end result.”
