UK law firm Blake Morgan has advised the management team of leadership consultancy Ivy House on its management buyout (MBO), backed by private equity investor Ama Capital.
The transaction marks an important milestone for Ivy House, a leading leadership development consultancy, and supports the business’s next phase of growth under its management team, with investment from Ama Capital.
Blake Morgan acted for the management team on their equity investments in the new Bidco structure, providing both strategic and detailed legal advice on the new shareholder, director and governance aspects of the deal. The firm was led by Corporate Partner Mathew Wilson, supported by corporate and tax colleagues Stephen Archibald and Rob Thomas as well as employment specialist Hannah Waterworth.
The MBO has enabled the management team to share ownership of the next chapter of Ivy House’s growth journey, while benefiting from the backing and expertise of Ama Capital.
Natalie Benjamin, CEO of Ivy House commented:
Ama’s investment gives us the scale, capability and reach to our goal of building a new kind of leadership and development company that combines deep human understanding with innovative thinking, practical solutions and measurable impact.
Thank you to Mat Wilson and the team at Blake Morgan for supporting us through the investment process, which was at times incredibly demanding whilst continuing to do the day job and ensure the business was continuing to do what is does best.
James Ellis, CFO of Ivy House added:
The management team and I were incredibly impressed in how Mat and his team were able to review and advise on the investment aspects of the deal in such a short time frame, grasping the important issues quickly and helping us navigate through the complexities within the agreed timetable.
Mathew Wilson, Corporate Partner at Blake Morgan, said:
We were delighted to support Natalie, James and the executive management team on this significant transaction for Ivy House. Management buyouts require careful planning and close collaboration between all parties, and it was a pleasure to work alongside the team to help deliver a successful outcome.
The investment from Ama Capital provides a strong platform for future growth, and we look forward to seeing Ivy House continue to build on its impressive reputation in leadership development and executive education.
