Blake Morgan advises TSA Riley on further expansion in UK and Canada

Posted on 26th November 2025

Blake Morgan has advised leading global project consultancy TSA Riley on its acquisition of D2 Global (D2), a specialist project management consultancy with operations in the UK and Canada. The transaction marks a significant milestone in TSA Riley’s strategic expansion, enhancing its infrastructure offering in the UK and marking its entry into the Canadian market.

Founded in 2011, D2 has built a strong reputation for delivering intelligent programme management solutions on complex infrastructure projects across the UK and Canada. With offices in Manchester and Toronto, TSA Riley’s partnership with D2 deepens the group’s expertise and brings a shared commitment to innovation and sustainability.

The expanded group will see TSA Riley’s team grow to nearly 1,100 expert consultants, enhancing its already strong property and infrastructure services and expanding its global reach. The move builds on the recent integration of Henry Riley, DGA Group and RGB Assurance into the TSA Riley group, reinforcing its position as a leading consultancy across the UK and Ireland, Australia, New Zealand and South-East Asia.

Speaking on behalf of TSA Riley, CEO Andrew Tompson said:

We are delighted to welcome D2 to TSA Riley. They are widely respected for their innovation, intelligent solutions, and strong delivery. We share a common culture, aligned ambitions, and a deep commitment to sustainability. Together, we’re now able to offer deeper expertise and broader global reach for our clients, while creating greater opportunities for our teams.

Corporate Partner Mathew Wilson led the cross-departmental team at Blake Morgan advising on the deal, with support from Corporate Tax Partner Rob Thomas, from Corporate Associates Jodie Grove and Katie Newham and other experts in its employment, pensions, property, commercial and tax teams. Blake Morgan worked closely alongside James Cowper Kreston, who advised on the Corporate Finance and Tax elements of the transaction.

Commenting on the transaction, Mathew Wilson, said:

It was a pleasure to support TSA Riley on their continued growth journey. D2’s expertise and values align with TSA Riley’s vision, and this partnership will undoubtedly create new opportunities for innovation and growth across the markets they know so well. We’re proud to have played an important role in helping TSA Riley expand its infrastructure offering in the UK and enter the Canadian market.

John Harris, CFO of TSA Riley, further commented:

“Blake Morgan’s M&A expertise was invaluable; the team’s experience and support ensured this complex process ran smoothly from start to finish. Thank you to Mat, Rob, Katie, Jodie and the rest of the Blake Morgan team for their hard work and commitment to furthering our growth journey.”

This transaction highlights Blake Morgan’s continued strength in advising on private equity backed cross-border mergers and acquisitions and supporting clients in the consultancy and professional services sectors.
