Meet our colleagues who assist the Banking & Finance team when we need to consult other teams…

The Insolvency Team

The Insolvency team, headed by Paul Caldicott and Katie James, is seeing a significant increase in new instructions, particularly from their banking clients. The initial instruction starts with a security review, to confirm that all the security is valid and binding, and to check any specific requirements to enable enforcement action to be taken. If payment is not made, nor a refinancing undertaken, enforcement action is likely to follow, most likely by way of the appointment of administrators or LPA receivers with a view to selling the business and assets, or the property.

One tip is to always check the notice provisions before sending out any letters of demand as the notice period can have an effect on when receivers or administrators can be appointed.

Property Group South: Daniel Curtis explains…

Property Group South (PGS) supports the Banking group in various offices.  Efficient working practices have been built up over many years.  The two groups support each other in many marketing activities.  We are always keen to help the Banking group with their processes and exploring ways to make them more efficient.  We are currently developing a case management system for automating tasks that are done in PGS. Hopefully, there may be scope to broaden this to cover some of the work that PGS and the Banking group work on to aid efficiency.

Key contacts in PGS are Daniel Curtis, Alison Westbrook, Andrea Mathias and Greg Goodman. PGS has experience of advising on distressed situations. Given the world we find ourselves in currently then we can assist Banks with distressed situations.

The Corporate Team: Kate Eyres explains…

The Corporate team assist with banking documents where they relate to a company or a corporate structure.  We can assist with reviewing the various company documents, including any shareholder arrangements to ensure that the bank’s interest will be suitably protected, and there are no weird and wonderful arrangements.

Acquisition Finance is a key area where the Corporate Team assist with both reviewing and negotiating key documents in the acquisition including the Share Purchase Agreement, to ensure that the relevant security being protected for the bank, is the one being purchased.  It is also important to review and undertake due diligence to ensure that the company being purchased does not have any skeletons in the closet.

In September we welcomed two new members to the Banking & Finance team – Richard Rogers in the London office and Sophia Keen in the Reading office.
