We provide specialist advice to lenders and borrowers on real estate funding matters including acquisition and development finance across a range of sectors on both a syndicated and bilateral basis. We advise on transactions ranging from single acquisitions in the UK to setting up multimillion euro property funds investing in retail and office property in Eastern Europe. We have particular expertise in large-scale development financings. We understand that real estate matters are not always linear so we work closely with specialists from our Tax, Construction, Insolvency, Planning, Corporate Finance and Property Litigation teams so that our clients’ needs are fully serviced.

We advise on land acquisition and draft, negotiate and settle facility agreements including bilateral and syndicated facilities, in LMA or short form, on a single or multi-currency basis.

Development funding

We advise on development contracting as well as providing advice on funder rights in relation to the building contract, collateral warranties and professional appointments.

Loan book acquisitions and disposals

We advise on due diligence, security reviews and on regulatory compliance matters.

Islamic compliant funding structures

We advise on legal charges and debentures, cost and interest overrun guarantees, performance bonds, subordination and intercreditor/priority arrangements.

Acquisitions, disposals and refinancing of portfolios property (commercial and residential)

We advise on tax efficient structures.

Realisation of security in enforcement scenarios

We advise on organising the disposal strategy, preparing the finance and sale documentation and general advice for security holders and lenders, receivers and administrators.

Highlights


Advising a UK Clearing Bank in relation to a £33.5 million senior facility agreement incorporating term and revolving credit facilities to provide ongoing funding to a care home business for its buy-and-build policy.


Advising a developer in the care sector on funding for a series of care village developments. This included advising on land acquisition, development contracting, negotiating with debt and equity provider on loan and investment documentation, and negotiating subordination terms with providers of vendor and secondary finance.


Advising a developer in relation to a £55 million term loan facility agreement to provide funding for a London housing development.
